Terms of Service

1. Agreement
These Terms govern access to and use of the Need-X.com platform by a registered business ("Merchant" or "Buyer") and its authorized users. By creating an account or using the platform, your business agrees to these Terms.
2. The service
Need-X.com provides a catalog, RFQ, order management, supplier network, and invoicing platform for the procurement of disposable and packaging goods between registered businesses. We are a platform connecting buyers and suppliers; the underlying supply contract for goods ordered through the platform is between the buyer and the fulfilling supplier(s).
3. Accounts & authorized users
Your business is responsible for the actions of the users it authorizes on its account, including RFQs submitted, orders placed, and approvals granted. Role-based access control lets you scope what each user can do — misconfiguring those roles is your business's responsibility, not ours.
4. Pricing, orders & payment
Prices shown reflect the pricing rules active for your business's tier, region, and any negotiated contract at the time of resolution. Prices locked from an accepted RFQ quote remain locked on the resulting order regardless of subsequent catalog changes. Payment terms (including any credit limit) are set per business account and enforced before an order is confirmed.
5. Invoicing & tax compliance
Invoices are generated based on the country and tax registration details a merchant provides. Merchants are responsible for the accuracy of the tax identifiers, addresses, and rates supplied to the platform; Need-X.com applies the tax treatment those inputs indicate but does not provide tax or legal advice.
6. Acceptable use
You agree not to misuse the platform — including attempting to circumvent tenant data isolation, submitting fraudulent RFQs or orders, or interfering with another business's use of the service.
7. Intellectual property
The Need-X.com platform, including its software and design, is our property or licensed to us. Catalog content, RFQ details, and order data you submit remain yours; you grant us the license needed to operate the platform on your behalf.
8. Limitation of liability
To the extent permitted by law, Need-X.com is not liable for indirect, incidental, or consequential damages arising from use of the platform, including supplier performance issues outside our reasonable control. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Termination
Either party may terminate an account for material breach of these Terms. On termination, we will retain transaction and invoice records for the period required by applicable law.
10. Changes to these terms
We may update these Terms from time to time; material changes will be communicated to account administrators before taking effect.
